EasyJet Weighs Castlelake Bid After Shares Jump

EasyJet Plc said it is evaluating a potential takeover approach from U.S. investment firm Castlelake LP after the investor disclosed it was exploring an offer and bought a 2.14% stake in the airline.

Castlelake said the possible offer would value EasyJet at a minimum of 403 pence per share, or about £3 billion in total. EasyJet shares jumped as much as 12% in early trading on Monday to 444.7 pence, the highest level since March 2, valuing the company at about £3.4 billion.

EasyJet said the timing of the interest was “highly opportunistic,” arguing that the share price had been temporarily depressed by the current situation in the Middle East, which it said has affected customer confidence and jet fuel costs.

The airline said it would consider any formal proposal, but warned of “considerable regulatory, financial and other execution challenges” linked to a potential takeover.

UK takeover timetable and regulatory hurdles

Under UK takeover rules, Castlelake has until 5 p.m. on June 26 to announce whether it intends to make a firm offer for EasyJet.

EasyJet pointed to ownership requirements that could complicate any deal. Under European Union rules, European airlines must be majority-owned by investors within the region, which could pose challenges for a solo bid by a U.S.-based buyer.

Market reaction and what investors are watching

The jump in EasyJet’s share price left the stock trading well above the minimum level implied by Castlelake’s potential offer. The move also underscored the sensitivity of airline valuations to geopolitical risk and fuel-price expectations.
