AI chipmaker Cerebras Systems set the terms for its initial public offering, aiming to raise up to $3.5 billion as it capitalizes on the artificial intelligence boom. The company plans to offer 28 million shares at a price range of $115 to $125 per share.
This move to go public comes asourceser the company filed its initial paperwork last month. Cerebras had previously considered an IPO last year but ultimately canceled those plans in October, waiting for more favorable market conditions.
The offering will be managed by a consortium of major financial institutions. Morgan Stanley, Citigroup, Barclays, and UBS Investment Bank are serving as the lead book-running managers. Additionally, the underwriters will have a 30-day option to purchase up to 4.2 million additional shares, potentially increasing the total funds raised.
Capitalizing on the AI Inference Market
The Cerebras Systems IPO is buoyed by surging commercial demand for specialized processors that power advanced AI models. The company has carved out a strategic niche by focusing on chips designed for inference workloads, distinguishing it from other players in the semiconductor industry.

Cerebras' market position is bolstered by recent high-profile partnerships with technology industry leaders. These deals serve as powerful validation for its unique chip architecture and have significantly raised the company's profile ahead of its public debut.
In January, Cerebras announced a landmark agreement with OpenAI, valued at upwards of $10 billion, to supply 750 megawatts of computing power. This massive deal provides critical infrastructure for one of the world's leading AI research and deployment companies.
More recently, Amazon Web Services (AWS), the largest cloud computing provider, signed a deal last month to integrate Cerebras chips into its data centers. This partnership opens up a substantial new channel for Cerebras, making its powerful inference capabilities available to the vast customer base of AWS.
With this IPO, Cerebras seeks to secure the capital needed to scale production, fund further research and development, and solidify its standing in the highly competitive AI hardware landscape.
