PTC faces $663.58m earnings test before Schneider deal
Analysts expect fiscal fourth-quarter earnings to improve sequentially as the $23 billion sale limits upside to the $205 offer price.

PTC is scheduled to report fiscal fourth-quarter results Wednesday after the market close, with analysts expecting $1.96 a share on $663.58 million in revenue, Investing Australia reported in a Nov. 5 market-news article.
The report matters because Schneider Electric's pending acquisition, valued at about $23 billion and expected in mid-2027, has narrowed the stock story around a $205-a-share offer versus a cited $194.06 price.
The fiscal fourth-quarter estimate would mark a 24% sequential increase from PTC's fiscal third-quarter earnings of $1.58 a share. Revenue in that prior quarter was $600.05 million and missed expectations by 2.2%, according to the article.
PTC has suspended quarterly earnings calls and stopped issuing quarterly and annual guidance while the Schneider transaction is pending. The article said 16 of 17 analysts rate the shares Hold, with targets clustered at the $205 acquisition price and a consensus target of $201, implying 3.6% upside from the cited share price.
Investors still have reasons to read the results. The figures will show whether PTC's product design and lifecycle-management software business is sustaining momentum before joining Schneider's industrial automation portfolio.
Regulatory review is another open point. Analyst commentary cited by Investing Australia said PTC's U.S. defense and federal business could attract scrutiny, though the article said most analysts expect the deal to close as planned.
Schneider's offer, announced Oct. 5, represented a 42% premium to PTC's closing price on the prior Friday and prompted downgrades by BMO Capital, Oppenheimer, Deutsche Bank and RBC Capital from Buy to Hold, according to the article.
Investing Australia said PTC has generated $2.95 billion in total revenue for the fiscal year, up 19.5%, while diluted earnings per share rose 143% to $10.32. The article said the Schneider deal would surpass its $11 billion purchase of AVEVA in 2023.
