Priority Technology’s $8.05 buyout faces BFA law firm review
The law firm says it is examining fiduciary-duty issues in a deal subject to minority-shareholder approval.

Bleichmar Fonti & Auld LLP said in an Oct. 14 press release it is investigating Priority Technology Holdings’ pending $8.05-a-share take-private agreement with Thomas Priore.
The review matters for minority holders because Priore is Priority Technology’s controlling stockholder, chairman and CEO, and owns about 56.54% of the company’s stock, according to the press release.
Priority Technology, which is incorporated in Delaware and trades on Nasdaq under PRTH, announced on Sept. 21 that it had agreed to be acquired by entities controlled by Priore and certain affiliates, BFA said.
BFA said the transaction would pay stockholders $8.05 a share in cash. The firm said the agreement was approved by a special committee of Priority Technology’s board and is subject to approval by minority stockholders.
The law firm said it is examining whether the merger terms are fair to minority investors and whether the approval process includes sufficient protections. BFA framed the matter as a potential fiduciary-duty issue if the terms or process are found inadequate.
The supplied press release did not include a response from Priority Technology, Priore or the company’s board. It was labeled attorney advertising and said past results do not guarantee future outcomes.
No date for a minority-shareholder vote was provided in the press release.
