Hofseth BioCare issues 237,500 shares to board members
The Norwegian company used a shareholder authorisation to pay first-half board remuneration in stock, triggering insider-disclosure requirements.

Hofseth BioCare ASA issued 237,500 shares on Nov. 5 as board remuneration for the first half of 2026, the company said in a press release that day.
The share issue raised share capital by NOK 2,375 and used about 0.15% of the 155,000,000-share authorisation approved at the annual general meeting, according to Atlas360 calculations.
The company said the allocation followed a June 30 annual general meeting decision that board pay for 2026 would be settled through ordinary shares. Shareholders also authorised the board to increase share capital by issuing new shares with a total value of up to NOK 1,550,000, equal to 155,000,000 shares with a par value of NOK 0.01 each.
Linda Christin Hoff, a board member and primary insider, received 50,000 shares at a subscription price of NOK 0.01 per share, Hofseth BioCare said. Christoph Johannes Baldegger, Eva Maria Bech, Amy Bennett Novogratz and Crawford Linden Alexander Currie, each described by the company as board members and primary insiders, received 37,500 shares each on the same terms.
Roger Hofseth also received 37,500 shares at a nominal value and subscription price of NOK 0.01 per share, the company said.
A primary insider is a person whose role can give access to inside information and whose transactions can require disclosure. Hofseth BioCare said the notification falls under Article 19(3) of the EU Market Abuse Regulation and Section 5-12 of the Norwegian Securities Trading Act.
The company listed Jon Olav Ødegård, chief executive officer of Hofseth BioCare ASA, as the contact for further information.
